Fees; Payment Terms

• 01 Fees. For the initial term of the Agreement, the Customer shall pay Provider the fees set forth in the Agreement (“Fees”) in accordance with this Section 4. Unless otherwise set forth in the Agreement, the fees for each renewal term under the Agreement shall increase by the greater of 3% or the increase in CPI.
• 02 Taxes. All Fees and other amounts payable by Customer under the Agreement are exclusive of sales, use and similar taxes. Customer is responsible for all such taxes imposed by any federal, state or local governmental or regulatory authority on any amounts payable by Customer hereunder, excluding, for the avoidance of doubt, any taxes imposed on Provider’s income.
• 03 Payment. Customer shall pay all Fees within 30 days after the date of the invoice therefor. Customer shall make all payments hereunder in US dollars. Customer shall make payments to the address or account specified in the Agreement or such other address or account as Provider may specify in writing from time to time.
• 04 No Deductions or Setoffs. All amounts payable to Provider under the Agreement shall be paid by Customer to Provider in full without any setoff, recoupment, counterclaim, deduction, debit or withholding for any reason (other than any deduction or withholding of tax as may be required by applicable Law).
• 05 Data Storage. Included with Customer subscription is Data Storage up to 2 GB. Additional Data Storage may be purchased by Customer for a fee.
